The Service
Ignito is a SaaS platform designed for work organization and workplace efficiency. It is a decision-support tool, intended exclusively for organizations and professionals.
Subscription
Ignito operates on a subscription basis, billed per user license. You can choose a monthly or annual (prepaid) subscription, depending on the plan selected.
Pricing and Taxes
Prices are expressed in euros (€) or US dollars (USD), depending on your country of establishment.
Contractual Right of Withdrawal
Although the service is reserved for professionals, we grant you, on a commercial basis, a 14-day withdrawal right from the date of subscription.
Termination
Monthly subscription: cancelable at any time, effective at the end of the current subscription period.
Annual subscription: cancelable at the anniversary date. In the event of early termination, no refund is issued, but access to the service is maintained until the end of the paid period.
Availability (SLA)
We commit to a monthly platform availability of 99%. In the event of non-compliance, service credits may be applied under the conditions set out herein.
Liability
Ignito is a decision-support tool: choices and decisions remain your responsibility. In any event, our financial liability is limited to amounts paid in the last 12 months.

Terms & Conditions
Purpose and Scope
These Terms & Conditions (hereinafter the “T&C”) define the commercial and financial conditions applicable to the subscription and use of the Ignito platform, a software solution provided in SaaS mode.
The T&C apply exclusively to any professional client acting in the course of their commercial, industrial, craft, professional, or agricultural activity (hereinafter the “Client”).
The “Service Agreement” refers to the contractual framework binding IGNITO and the Client, comprising:
these T&C,
the Terms of Service (ToS),
the Data Processing Agreement (DPA),
and, where applicable, any quote, purchase order, or specific contractual document accepted by the Parties.
In the event of conflict between these documents, the following order of precedence applies:
Accepted quotes or specific conditions,
T&C,
ToS,
DPA.
Service Provider
The platform is operated and marketed by IGNITO, a simplified joint-stock company (SAS), under the trade name Ignito (hereinafter referred to as “Ignito”).

Service Description
Ignito is an organizational analysis and working time optimization software platform, provided in Software as a Service (SaaS) mode, accessible exclusively online, and intended for professional use.
The Service allows the Client to access analysis, visualization, and recommendation features based on data and parameters provided or configured by the Client.
The features available, their terms of use, and their scope depend on:
the plan subscribed to,
the number of active user licenses,
the parameters and integrations defined by the Client.
Ignito implements reasonable technical, human, and organizational means to ensure the proper functioning of the service, in accordance with SaaS industry standards.
The conditions of access to and use of the service are defined in the Terms of Service (ToS).
Service Changes and Updates
Ignito reserves the right to update the Service to improve its performance, security, regulatory compliance, or features, including by adding, modifying, or removing certain features.
Such updates may occur without prior notice provided they do not substantially alter the essential features of the Service subscribed to by the Client.
In the event of a material change significantly affecting the use of the Service, Ignito undertakes to inform the Client within a reasonable timeframe.
The Client acknowledges and accepts that the Service is part of a continuous improvement process and that certain features may evolve, be adapted, or replaced, subject to compliance with applicable contractual commitments.
Order Process and Contract Formation
Subscription to the Ignito service is completed:
either online via the platform, upon payment validation,
or by acceptance of a quote or purchase order.
The Service Agreement is deemed definitively concluded:
on the date of online payment validation,
or on the date of signature or express acceptance of the quote or purchase order.
Any validated order binds the Client for the duration of the subscribed plan.
Commercial Model
5.1. Subscription
The Ignito service is offered on a subscription basis:
monthly,
or annual (prepaid, unless otherwise contractually agreed).
The subscription renews automatically at each term for an equivalent period, unless terminated under the conditions set out in Section 12.
5.2. Per-User License
Billing is based on a per-user license price.
A license corresponds to:
a named access,
assigned to a user authorized by the Client,
for the duration of the current subscription period.
The Client is solely responsible for:
the creation, activation, and deactivation of user accounts,
ensuring that the number of subscribed licenses matches the number of active users.
Any license active during a billing period is due.
Additional Services
Additional services may be offered, including:
onboarding,
training,
implementation support,
specific or custom configuration.
These services are subject to a separate quote or specific conditions accepted by the Client.
Pricing
Prices correspond to the rates in effect on the date of subscription, as indicated on the website or in any contractual document accepted by the Parties.
Prices are expressed exclusive of taxes (net of tax):
in euros (€) for Clients established in a euro-zone country,
in US dollars (USD) for Clients established in any other country.
Unless otherwise agreed in writing, the applicable currency is determined based on the Client's country of establishment at the time of subscription.
Taxes
IGNITO is subject to French VAT. EU VAT identification number: FR40101037117.
For Clients established in the European Union, the applicable VAT rate is the rate in effect on the invoicing date.
For Clients established outside the European Union, services provided by IGNITO are exempt from French VAT, in accordance with the rules applicable to B2B services supplied to taxable persons established outside the EU (Article 259 of the French Tax Code). The Client is solely responsible for its local tax obligations, including any reverse charge mechanism, value-added tax, or equivalent tax applicable in its country of establishment. IGNITO reserves the right to request from the Client any documentation necessary to determine the applicable tax treatment, including a local VAT or tax identification number or any document evidencing the Client's status as a taxable person.
Price Revisions
Ignito reserves the right to modify its pricing.
Any pricing change will be notified to the Client at least thirty (30) days before the subscription renewal date.
New pricing applies only from the next subscription renewal.
If the Client refuses the new pricing, they may terminate before the renewal date without penalty.
Invoicing and Payment
8.1. Terms
Monthly subscription: invoiced monthly in advance.
Annual subscription: invoiced annually in advance.
Any billing period already started remains payable.
8.2. Payment Methods
Payment by credit card or any other method agreed upon contractually.
Invoices will include IGNITO’s intra-EU VAT number (FR40101037117) and the applicable VAT.
8.3. Late Payment
Late payment penalties apply automatically, at a rate of three (3) times the legal interest rate, along with a flat-rate collection fee of €40.
8.4. Suspension
In the event of a contractual breach, in particular non-payment, Ignito reserves the right to suspend access to the service, after prior notice except in cases of urgency.
License Changes and Verification
9.1. Changes
Increases are possible at any time (billed on a pro-rata basis),
Decreases are only possible at the renewal date.
9.2. Verification
Ignito may verify compliance with the number of licenses. Any overage identified may result in additional billing.
Term
The Service Agreement is entered into for the duration of the subscribed plan and renews automatically, unless terminated.
Contractual Withdrawal Right
On a commercial basis, Ignito grants a withdrawal right of fourteen (14) calendar days from the date of subscription.
If exercised within this period:
access is deactivated,
all amounts paid are fully refunded.
This right may only be exercised once per Client.
Termination
12.1. By the Client
Monthly subscription: cancelable at any time, effective at the end of the current subscription period.
Annual subscription:
the Client may terminate at the annual renewal date,
or proceed with early termination, without refund of amounts already paid.
In the event of early termination of an annual subscription:
the Client retains access to the Service until the end of the already-paid subscription period,
no additional penalty applies,
no refund, partial or total, is due.
12.2. By Ignito
Ignito may terminate after a formal notice that remains unaddressed for fifteen (15) days, or immediately in the event of a material breach.
Consequences of Termination and Data Portability
Upon expiration of the Agreement:
access to the service is deactivated,
the Client may export their data via standard features within the timeframe defined in the DPA,
data is then processed in accordance with the DPA and the Privacy Policy.
Any specific portability service or additional assistance may be subject to separate billing.
Intellectual Property
Ignito retains all intellectual property rights relating to the platform, software, interfaces, algorithms, models, documentation, and content.
The Client is granted a non-exclusive, non-transferable right of use limited to the duration of the Agreement, for their professional use only.
Any unauthorized reproduction, decompilation, extraction, modification, or exploitation is strictly prohibited.
Liability
Ignito provides the Service under a reasonable efforts obligation, in accordance with applicable standards and practices for SaaS software solutions.
The Client acknowledges that the Service is an analysis and decision-support tool, and that it is their responsibility to assess its results, recommendations, and visualizations in light of their own organizational, social, managerial, and regulatory context.
Accordingly, Ignito shall not be held liable for:
decisions made by the Client or its users based on analyses, indicators, or recommendations provided by the Service,
organizational, managerial, social, or human resources consequences resulting from the use of the Service,
indirect or intangible damages, including in particular any loss of revenue, loss of business, data loss, loss of customers, lost profits, or reputational harm.
Ignito’s liability is excluded for damages resulting in particular from:
inaccurate, incomplete, or non-compliant data provided by the Client,
improper configuration of the Service or use not in accordance with the ToS,
malfunctions or unavailability of third-party services, software, or APIs integrated with or connected to the Service,
use of the Service outside the defined contractual scope.
In any event, Ignito’s total liability, for all causes combined, is strictly limited to the amounts excluding VAT actually paid by the Client for the Service during the twelve (12) months preceding the occurrence of the event giving rise to the damage.
The liability limitations set out in this section do not apply:
in cases of gross negligence or willful misconduct,
in cases of breach of a fundamental obligation,
nor to liabilities that cannot be excluded or limited under applicable mandatory law.
The Client remains solely responsible for the use they make of the Service and the results thereof.
Service Level Agreement (SLA)
Ignito commits to implementing reasonable technical and organizational means to ensure a monthly Service availability of 99%, calculated on a calendar basis.
16.1. Availability Scope
Availability means effective accessibility of the Ignito platform, excluding:
planned maintenance operations, notified to the Client where possible,
unavailability attributable to telecommunications networks or the Internet,
malfunctions of third-party services or APIs integrated into the platform,
actions or omissions of the Client or its users,
force majeure events.
16.2. Service Credits
In the event of non-compliance with the monthly availability rate, the Client may receive, as exclusive compensation, a service credit according to the following scale:
Availability between 97% and 99%: credit of 5% of the monthly subscription amount,
Availability between 95% and 97%: credit of 10%,
Availability below 95%: credit of 20%.
The total amount of service credits is capped at 20% of the monthly subscription amount.
16.3. Claim Process
Service credits must be requested by the Client in writing within thirty (30) days following the relevant month. Credits are applied exclusively against a future invoice and cannot be refunded as cash.
Customer Reference
Subject to the Client’s prior written consent, Ignito may mention the Client’s name, company name, and logo as a customer reference, in particular on its institutional and commercial communication materials.
Such consent may be given by any means, including in a quote, purchase order, or written exchange.
The Client may withdraw their authorization at any time by written notice, without affecting the validity of the current Agreement.
Force Majeure
Neither Party shall be held liable in the event of force majeure within the meaning of Article 1218 of the French Civil Code.
Governing Law, Jurisdiction, and Language
These T&C are governed by French law.
Any dispute relating to their interpretation or performance falls under the exclusive jurisdiction of the Paris Commercial Court, unless otherwise stipulated in the Agreement.
These Terms & Conditions are drafted in French. The English version is provided for convenience only. In the event of any inconsistency or dispute regarding interpretation, the French version shall prevail.
Survival of Clauses
Clauses relating in particular to liability, intellectual property, confidentiality, payment, governing law, and jurisdiction survive the termination of the Agreement.
Assignment
The Client may not assign the Agreement without Ignito’s prior written consent.
Ignito may assign the Agreement in the context of a restructuring, business transfer, merger, or financing round, subject to informing the Client.
Severability
The invalidity of any provision does not affect the validity of the remaining provisions.
